Acceptance of Terms of Use
The following Terms of Use apply to anyone accessing and using the Nubiaville website, or any part of it. Nubiaville may modify these Terms of Use from time to time and accordingly you are advised to keep up to date with the changes by regularly reviewing the Terms. By using Nubiaville you agree to be bound by these Terms.

Definitions
"Nubiaville" means the Nubiaville.com website with its accompanying services.

"User" means an individual or company who has registered online or otherwise at Nubiaville with the purpose of using any of the services provided.

Our Content" means all content on Nubiaville that is owned by us or licensed to us by third parties, including information, text, designs, graphics, pictures, video, photographs, applications, software, audio and other files

Eligibility
Nubiaville is available to you for your personal and corporate use which may include online recruitment, online test administration and management and other legitimate career related activities as provided by Nubiaville.

Access, Account Security and Registration Data
When you use Nubiaville, you may set up a personal or company profile, post vacancies and resumes, apply for vacancies, post, administer, or take online aptitude tests, set up events workshops or training and perform searches or queries.

It is your responsibility to ensure that you have an appropriate web browser or any other technical requirements in place in order to access and make use of Nubiaville.

In using Nubiaville, you agree to

• provide us with and maintain accurate, current and complete information about you on registration to Nubiaville;
• maintain and promptly update any information you provide to us including registration information, where it may have changed, keeping it accurate, current and complete; and
• be fully responsible for all use of your account and for any actions that take place using your account.

 

Security
You are responsible for the security and proper use of any user IDs and passwords required for registration on Nubiaville and to maintain your Nubiaville profile, and must take all necessary steps to ensure that they are kept confidential, secure, used properly and not disclosed to unauthorised people.

Electronic Communication
You consent to receive communications from Nubiaville electronically. Nubiaville will communicate with you by e-mail transmission. You agree that all communications that Nubiaville provides to you electronically satisfy any legal requirement that such communications be in writing.

Changes to Nubiaville
We reserves the right to modify, edit, delete, suspend or discontinue, temporarily or permanently, Nubiaville (or any part of it) and/or the information, content, materials, products and/or services (or any part of them) available through Nubiaville at any time.

Ownership of Content that we provide
The content in Nubiaville is protected by copyright, trademark and other intellectual property rights as applicable except for your content that you have the legitimate right to post or make available on Nubiaville,

You must not, without our prior written consent, copy, publish, download, or modify Our Content or use any or part of the content, without our written permission. You may download or print a copy of any part of Our Content to which you have properly gained access solely for your personal, non-commercial use, provided that you keep all copyright, trademarks, logos or other proprietary notices intact. We may withdraw this consent at any time for any reason.

Content you post on Nubiaville
You are responsible for all content, including information, text, pictures, photographs, messages, notes, videos, software, and other files or material, that you upload or post on Nubiaville or communicate to other Users through Nubiaville. If you did not create content that you post or otherwise make available to Nubiaville, it is your responsibility to ensure that you have the necessary consent from the owner of the content to use it on Nubiaville. You are responsible at your own cost for creating backup copies and replacing any content that you upload or post on Nubiaville or provide to us.

When you upload, post or otherwise make available your content to Nubiaville you automatically grant us at no additional charge permission to use any or all of your content for any purpose (including for editorial reasons) anywhere in the world, including where we may share your content with third party websites. This permission is not exclusive.

You agree to indemnify us against all claims and proceedings arising from infringement of any third person's intellectual property rights as a result of content that you have posted on or made available on Nubiaville. This indemnity does not apply to claims or proceedings arising from our use of your content other than in accordance with these Terms of Use. We can withdraw your content at anytime without notice for any reason.

• USER EXPRESSLY AGREES THAT USE OF NUBIAIVLLE IS AT USER'S SOLE RISK. NEITHER NUBIAVILLE INC, ITS AFFILIATES NOR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS OR LICENSORS WARRANT THAT NUBIAIVLLE WILL BE UNINTERRUPTED OR ERROR FREE; NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF NUBIAIVLLE, OR AS TO THE ACCURACY, RELIABILITY OR CONTENT OF ANY INFORMATION, SERVICE, OR MERCHANDISE PROVIDED THROUGH NUBIAIVLLE
• NUBIAIVLLE IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPLIED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THIS AGREEMENT.
• THIS DISCLAIMER OF LIABILITY APPLIES TO ANY DAMAGES OR INJURY CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF RECORD, WHETHER FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION. USER SPECIFICALLY ACKNOWLEDGES THAT NUBIAVILLE INC IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD-PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH USER.
• IN NO EVENT WILL NUBIAVILLE INC, OR ANY PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING OR DISTRIBUTING NUBIAIVLLE BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE NUBIAIVLLE. USER HEREBY ACKNOWLEDGES THAT THE PROVISIONS OF THIS SECTION SHALL APPLY TO ALL CONTENT ON THE SITE.
• IN ADDITION TO THE TERMS SET FORTH ABOVE NEITHER, NUBIAVILLE INC, NOR ITS AFFILIATES, INFORMATION PROVIDERS OR CONTENT PARTNERS SHALL BE LIABLE REGARDLESS OF THE CAUSE OR DURATION, FOR ANY ERRORS, INACCURACIES, OMISSIONS, OR OTHER DEFECTS IN, OR UNTIMELINESS OR UNAUTHENTICITY OF, THE INFORMATION CONTAINED WITHIN NUBIAIVLLE, OR FOR ANY DELAY OR INTERRUPTION IN THE TRANSMISSION THEREOF TO THE USER, OR FOR ANY CLAIMS OR LOSSES ARISING THEREFROM OR OCCASIONED THEREBY. NONE OF THE FOREGOING PARTIES SHALL BE LIABLE FOR ANY THIRD-PARTY CLAIMS OR LOSSES OF ANY NATURE, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, PUNITIVE OR CONSEQUENTIAL DAMAGES.
• FORCE MAJEURE NEITHER PARTY WILL BE RESPONSIBLE FOR ANY FAILURE OR DELAY IN PERFORMANCE DUE TO CIRCUMSTANCES BEYOND ITS REASONABLE CONTROL, INCLUDING, WITHOUT LIMITATION, ACTS OF GOD, WAR, RIOT, EMBARGOES, ACTS OF CIVIL OR MILITARY AUTHORITIES, FIRE, FLOODS, ACCIDENTS, SERVICE OUTAGES RESULTING FROM EQUIPMENT AND/OR SOFTWARE FAILURE AND/OR TELECOMMUNICATIONS FAILURES, POWER FAILURES, NETWORK FAILURES, FAILURES OF THIRD PARTY SERVICE PROVIDERS (INCLUDING PROVIDERS OF INTERNET SERVICES AND TELECOMMUNICATIONS). THE PARTY AFFECTED BY ANY SUCH EVENT SHALL NOTIFY THE OTHER PARTY WITHIN A MAXIMUM OF FIFTEEN (15) DAYS FROM ITS OCCURENCE. THE PERFORMANCE OF THS AGREEMENT SHALL THEN BE SUSPENDED FOR AS LONG AS ANY SUCH EVENT SHALL PREVENT THE AFFECTED PARTY FROM PERFORMING ITS OBLIGATIONS UNDER THIS AGREEMENT.

Indemnification
User agrees to defend, indemnify and hold harmless NUBIAVILLE INC, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of the use of Nubiaville by User or User's Account.

Termination
Either Nubiaville or User may terminate this Agreement at any time. Without limiting the foregoing, We shall have the right to immediately terminate User's Account in the event of any conduct by User which Nubiaville, in its sole discretion, considers to be unacceptable, or in the event of any breach by User of this Agreement.

Miscellaneous
This Agreement and any operating rules for Nubiaville established by Nubiaville Inc constitute the entire agreement of the parties with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties with respect to such subject matter. This Agreement shall be construed in accordance with the laws of Nigeria, without regard to its conflict of laws rules. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. The section headings used herein are for convenience only and shall not be given any legal import.

Any rights not expressly granted herein are reserved.
